Test signup + first action on [APP NAME] (mobile)

NON-DISCLOSURE AGREEMENT This Non-Disclosure Agreement ("Agreement") is entered into between {{TESTER_NAME}} ("Recipient") and {{POSTER_NAME}} ("Discloser") as of {{DATE}}, for the purpose of {{POSTER_NAME}} disclosing confidential information to Recipient in connection with the testing of the application or product known as "{{APP_NAME}}" (the "Project"). 1. CONFIDENTIAL INFORMATION "Confidential Information" means any non-public information disclosed by Discloser to Recipient, in any form, relating to the Project, including but not limited to: software, source code, designs, screenshots, business plans, user data, pricing, unreleased features, and any other information that a reasonable person would understand to be confidential. 2. OBLIGATIONS OF RECIPIENT Recipient agrees to: (a) hold all Confidential Information in strict confidence; (b) use Confidential Information solely for the purpose of providing testing feedback to Discloser; (c) not disclose, publish, share, or otherwise reveal Confidential Information to any third party; and (d) not reproduce, screenshot for public distribution, or post about the Project on any public forum, social media, or messaging platform without prior written consent from Discloser. 3. EXCLUSIONS This Agreement does not apply to information that: (a) is or becomes publicly available through no fault of Recipient; (b) was rightfully known to Recipient before disclosure; (c) is independently developed by Recipient without use of Confidential Information; or (d) is required to be disclosed by law or court order, provided Recipient gives Discloser prompt notice. 4. TERM This Agreement shall remain in effect for a period of two (2) years from the date of signing. Upon termination, Recipient shall return or destroy all Confidential Information and confirm such destruction upon request. 5. NO LICENSE No license or rights are granted under this Agreement, by implication or otherwise, to any Confidential Information except as expressly set forth herein. 6. REMEDIES Recipient acknowledges that a breach of this Agreement may cause irreparable harm for which monetary damages are inadequate. Discloser is therefore entitled to seek injunctive relief in addition to any other remedies available at law. 7. GOVERNING LAW This Agreement shall be governed by the laws of the State of Texas, United States, without regard to conflict-of-laws principles. By signing below, Recipient acknowledges having read, understood, and agreed to be bound by all terms of this Agreement.
